Terms of Use
VoiceDay – Private Voice Recorder & Transcription
Your Voice. Your Device. Your Privacy. These Terms explain the rules for using VoiceDay, including lawful recording, locally processed transcriptions, your content, and any purchases offered in the App.
1. Acceptance of These Terms
These Terms of Use (the “Terms”) govern your access to and use of VoiceDay, including its compatible smartwatch application and mobile application (collectively, the “App”). The App is provided by Chongqing Weilitasi Technology Co., Ltd. (“VoiceDay,” “we,” “us,” or “our”).
By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App. If you use the App on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
Additional terms imposed by the app marketplace or device manufacturer may also apply.
2. Eligibility
You must be legally permitted to use the App in your jurisdiction. If you are below the age at which you may enter into a binding agreement, you may use the App only with the permission and supervision of a parent or legal guardian, where allowed by applicable law.
3. Description of the Service
VoiceDay helps you capture audio using supported recording features, including a compatible smartwatch, transfer recordings to a paired mobile device, and convert audio into text using on-device transcription technology. Depending on the App version and device, features may include organizing, editing, deleting, importing, exporting, or sharing recordings and transcripts.
Features and performance may vary by device, operating system, language, region, available storage, and application version. An active connection between supported devices may be required for transferring recordings. We do not guarantee compatibility with every device or operating system version.
4. Privacy and On-Device Processing
VoiceDay is designed to perform speech-to-text transcription locally on a compatible mobile device, without requiring recording content to be uploaded to servers operated by us for transcription. Recordings may transfer from your smartwatch to your paired phone using available platform features.
Local processing does not mean that every activity involving the App is necessarily offline. App downloads, purchases, support inquiries, optional sharing, or operating-system backups may involve network services. If you choose to export or share content, the recipient service may process that content under its own terms and privacy practices.
Our Privacy Policy explains our data practices and forms a separate document from these Terms.
5. Microphone and Device Permissions
To operate as intended, VoiceDay may request access to your device microphone, local files, or device-to-device connectivity. You control these permissions through applicable system settings. Denying a necessary permission may limit or prevent certain features from functioning.
6. Recording Laws, Consent, and Third-Party Rights
You are responsible for ensuring that every recording you make, import, store, transcribe, export, or share is lawful. Laws about recording conversations differ across countries, states, and circumstances. Some locations require consent from all participants, while others may have different notice or consent requirements.
Before recording anyone, obtain all notices, permissions, and consents required by applicable law. Do not use VoiceDay for unlawful interception, covert surveillance, stalking, harassment, infringement of privacy or confidentiality, or other unlawful purposes.
If you record workplace, healthcare, legal, educational, or other sensitive conversations, you are responsible for complying with any additional rules, agreements, professional duties, and retention obligations that apply to you. VoiceDay does not itself establish compliance with HIPAA, GDPR, professional confidentiality rules, or other sector-specific requirements.
7. Transcription Accuracy and Professional Use
Transcription is produced by automated speech-recognition technology. Results can contain omissions, misheard words, incorrect names, punctuation errors, or other inaccuracies, especially in noisy environments, with multiple speakers, unfamiliar accents, or low-quality audio.
Always review and verify transcripts before relying on them. VoiceDay is not intended to replace certified transcription, professional interpretation, medical documentation, legal advice, or other expert review. Do not rely solely on a transcript when errors could result in harm or significant consequences.
8. Your Content and Responsibilities
As between you and us, you retain any rights you have in recordings, transcripts, and other materials that you create or import (“User Content”). These Terms do not transfer ownership of your User Content to us.
You are responsible for the content you record and for deciding whether to retain, delete, export, or share it. You represent that you have any permissions and rights required to use User Content in the App. We do not need access to your recording content to provide local transcription.
You are responsible for safeguarding your device and maintaining any backups you need. Deleting the App or changing devices may cause the loss of locally stored content, subject to operating-system backup and restoration behavior.
9. License and Acceptable Use
Subject to these Terms and any applicable marketplace rules, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for your lawful personal or internal business purposes on devices you own or control.
You agree not to:
- Use the App to violate laws, another person's privacy, or intellectual property rights.
- Distribute malicious code or interfere with the security or operation of the App.
- Attempt to circumvent licensing, payment controls, or technical access restrictions.
- Reverse engineer, modify, or redistribute the App except to the extent expressly permitted by applicable law or open-source licenses.
- Misrepresent the App's capabilities or use it to facilitate fraud, harassment, or other unlawful activity.
Nothing in these Terms prevents acts that applicable law expressly permits.
10. Purchases, Lifetime Access, and Refunds
Some versions or features of VoiceDay may be offered for free, as a paid download, through an in-app purchase, or through a one-time purchase. Only the pricing, features, and payment terms actually displayed in the App or applicable app marketplace at the time of purchase apply.
If a one-time or “lifetime” purchase is offered, it generally grants access to the features identified for that purchase for the supported life of the App or feature, not a guarantee of perpetual availability, compatibility with all future devices, or inclusion of every future paid product or feature. The specific offer displayed at purchase takes precedence over this general description.
Purchases made through Apple are processed by Apple and may be governed by Apple's payment, cancellation, family-sharing, and refund policies. We do not receive your full payment card details. Refund requests for App Store purchases should ordinarily be submitted through Apple's applicable refund process, without limiting any non-waivable consumer rights you have under local law.
We will not convert a one-time purchase into a recurring subscription without a separate, properly disclosed purchase authorization.
11. Updates, Availability, and Changes
We may release bug fixes, security updates, compatibility updates, and changes to features. Certain updates may be necessary for continued operation. The App may be temporarily unavailable or function differently due to technical issues, platform changes, or maintenance.
We may modify or discontinue features where reasonably necessary, subject to applicable consumer protection laws and any commitments made at purchase. We do not promise uninterrupted or error-free availability.
12. Third-Party Platforms and Services
VoiceDay may operate with Apple Watch, iPhone, Apple operating-system features, the App Store, and optional external destinations selected by you. Your use of those products and services may also be governed by the terms and privacy notices of their providers.
Apple is not responsible for VoiceDay's development or operation except as required by applicable marketplace terms or law. If you obtained VoiceDay through Apple's App Store, you acknowledge that these Terms are between you and Chongqing Weilitasi Technology Co., Ltd., not Apple, subject to any rights Apple has under its standard marketplace provisions.
13. Our Intellectual Property
VoiceDay, including its software, interface, branding, logos, and other materials provided by us, is owned by us or our licensors and protected by applicable intellectual property laws. Except for the limited license expressly granted above, no rights to our intellectual property are granted to you.
Third-party and open-source components, if any, remain subject to their respective licenses.
14. Disclaimers
To the extent permitted by applicable law, the App is provided on an “as is” and “as available” basis, without warranties of merchantability, fitness for a particular purpose, uninterrupted availability, or transcription accuracy. We do not warrant that any recording, transcription, transfer, or storage function will be error-free or immune from data loss.
Nothing in these Terms excludes any guarantee, warranty, remedy, or other consumer right that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of data, arising from use of the App. To the extent permitted by law, our aggregate liability relating to the App will not exceed the amount you paid us for the App during the twelve months preceding the event giving rise to the claim.
These limitations do not apply where prohibited by law and do not limit liability that cannot lawfully be excluded or restricted, including liability for fraud, willful misconduct, or personal injury where applicable.
16. Suspension and Termination
You may stop using VoiceDay at any time and remove it from your devices. We may suspend or terminate access to features under our control if reasonably necessary to address unlawful use, security threats, or material violations of these Terms, consistent with applicable law.
Removing the App may delete locally stored recordings and transcripts. Deleting the App does not automatically remove copies you previously exported or shared, or copies retained in device backups.
17. Governing Law and Consumer Protections
Except where mandatory law provides otherwise, these Terms are governed by the laws applicable at our place of establishment in Chongqing, China, excluding conflict-of-law rules.
If you reside in a jurisdiction with mandatory consumer protections, including applicable rights in the European Economic Area or United Kingdom, these Terms do not deprive you of those protections or of rights to bring claims before courts where such rights are guaranteed by applicable law.
18. Changes to These Terms
We may update these Terms to reflect changes in the App, our operations, or legal requirements. When we update them, we will change the “Last Updated” date above. Where required by law, we will provide additional notice or seek your agreement before material changes take effect.
If you do not agree to updated Terms, you should discontinue use of the App, subject to any rights you retain under applicable law.
